Terms of Business of Jackie Phillip & Co. Law Firm
Applicable from 1 March 2010.
Unless otherwise agreed, these Terms of Business shall apply to all tasks performed by Jackie Phillip & Co. Law Firm, with special reference being made to the limitation of liability set out in the present Terms of Business.
1.0 – Performance of the task

Jackie Phillip & Co. Law Firm and the client shall agree on an ongoing basis on the legal assistance and the scope of each task performed as well as the client’s and other parties’ contribution and services.
Jackie Phillip & Co. Law Firm undertakes vis-à-vis the client to provide qualified legal assistance, which shall be delivered at the agreed time and to the agreed extent.
All tasks shall be performed in accordance with the ethical principles for practicing law defined by the General Council of the Danish Bar and Law Society, the rules on lawyers set out in the Danish Administration of Justice Act (Retsplejeloven) and other relevant legislation. All of the Firms attorneys are appointed by the Danish Ministry of Justice, furthermore, every attorney is members of the Danish Bar and Law Society.
Jackie Phillip & Co. Law Firm is subject to the provisions of the Danish Money Laundering Act (Hvidvaskloven) and is therefore under an obligation to obtain and store information about the identity of the client.
Jackie Phillip & Co. Law Firm shall keep all case documents on file for a minimum of five (5) years after the closing of the case. Original documents shall be returned no later than at the closing of the case.
The client shall be given the rights necessary to use the written material submitted by Jackie Phillip & Co. Law Firm to the client in connection with the case; however, Jackie Phillip & Co. Law Firm shall keep and maintain all copyright and other intellectual property rights to the material.
2.0 – Invoicing and terms of payment
Invoicing and terms of payment
Jackie Phillip & Co. Law Firm’s fee shall generally be settled on the basis of time consumed. The settlement shall also take into account the nature of the task, the responsibility associated with the case, the complexity of the case and the outcome achieved. To the extent deemed necessary, Jackie Phillip & Co. Law Firm shall submit weekly statements or otherwise monthly statements, in arrears.
The terms of payment shall be net cash seven (7) days from the date of invoice. In the event of overdue payment, interest will be calculated in accordance with the Danish Interest Rate Act (Renteloven). VAT shall be added to the fee invoiced in accordance with the rules in force.
Prepayment of outlays and expenses will normally be charged as well as prepayment of the fee. Any prepaid amounts shall be paid into the client account and treated as client funds. Task-related outlays and expenses shall be paid by the client in addition to the fee.
3.0 – Client funds
All client funds shall be administered according to the rules laid down by the Danish Bar and Law Society and shall be paid into client accounts at recognized banks. Any interest accrued shall be credited to the client in accordance with the rules of the Danish Bar and Law Society.
4.0 – Confidentiality
Any information disclosed to Jackie Phillip & Co. Law Firm by clients or received about clients or other parties in connection with the work performed for clients shall be treated as confidential information.
5.0 – Liability
Jackie Phillip & Co. Law Firm shall be liable for assistance to clients in accordance with the general rules of Danish law. Jackie Phillip & Co. Law Firm’s liability in respect of each task and in each instance of both ordinary and gross negligence on the part of Jackie Phillip & Co. Law Firm shall, however, be limited to the amount covered by the lawyers’ liability insurance taken out by Jackie Phillip & Co. Law Firm. Information about the current limit of liability is available upon request. Jackie Phillip & Co. Law Firm shall not be held liable for any indirect loss or operating loss, including loss of data, loss of profit, goodwill, image etc.
Jackie Phillip & Co. Law Firm’s partners and employees shall not be liable for any errors made by advisors to which Jackie Phillip & Co. Law Firm has referred the client, and Jackie Phillip & Co. Law Firm and its partners and employees shall also not be liable for any errors made by subsuppliers which Jackie Phillip & Co. Law Firm has entrusted with solving parts of the task.
Jackie Phillip & Co. Lawfirm is insured with Tryg Forsikring, Klausdalsbrovej 601, 2750 Ballerup, Telephone 40 11 20 20, email@example.com – Jackie Phillip & Co. Law Firm has taken out liability insurance according to the guidelines by the Danish Bar and Law Society. The liability insurance covers all legal assistance clients in accordance with the general rules of Danish law, no matter where the legal assistance shall be performed.
6.0 – Filing
All case documents shall be kept on file for five (5) years from the closing of the case. To the extent possible pursuant to current legislation, all case documents will be filed electronically on DVD, CD-ROM, hard disk etc. Original documents shall be returned no later than in connection with the closing of the case.
7.0 – Copyright
Jackie Phillip & Co. Law Firm’s clients shall be given the rights necessary to the specific written material produced in a case; however, Jackie Phillip & Co. Law Firm shall keep and maintain the actual copyright and other intellectual property rights.
8.0 – Closing of case
Closing of case
Jackie Phillip & Co. Law Firm shall continue working on a case until the case can be deemed to be closed unless the client has asked that such work be ceased prior to this, the time for payment indicated in an invoice has been exceeded and the client has been notified that the work will be ceased if payment is not effected within a specific time limit, the client becomes insolvent, or if the client’s interests are deemed to be best served by ceasing the work.

10.0 – Governing law/venue
Jackie Phillip & Co. Law Firm’s services shall in every respect be governed by Danish law, and any disputes shall only be brought before the Danish courts of law.
